Porter Terms of Service

These Terms of Service (the “Terms”) govern the access to and use of the websites, software, applications, APIs, platforms, and related services made available under the Porter brand by Jaagon Oy, a company incorporated under the laws of Finland (“Porter”, “we”, “us”, or “our”).
By creating an account, accessing, subscribing to, or using any Porter service, you agree to be bound by these Terms. If you enter into these Terms on behalf of a company, association, public body, or other legal entity, you represent and warrant that you have authority to bind that entity, in which case “Customer”, “you”, and “your” refer to that entity.
If you do not agree to these Terms, you must not access or use the services.
1. Scope of Services
Porter provides software-as-a-service solutions for document processing, accessibility enhancement, document generation, workflow automation, validation, analytics, integrations, and related digital services. Services may include products marketed as Porter Fixer, Porter Original, Porter API, and any other products, modules, or features made available under the Porter brand.
Porter may modify, improve, replace, suspend, or discontinue any part of the services at any time, provided that material adverse changes to paid subscriptions shall be handled in accordance with applicable law and any specific agreement with the Customer.
2. Eligibility and Business Use
The services are primarily intended for companies, organisations, public entities, and professional users. Certain services may also be offered to consumers.
You may use the services only if you are legally capable of entering into binding contracts and your use complies with all applicable laws and regulations.
You shall not use the services in any manner that is unlawful, fraudulent, infringing, abusive, harmful, or likely to damage Porter, its systems, or third parties.
3. Accounts and Security
Use of certain services may require registration of an account. You are responsible for maintaining the confidentiality of login credentials and for all activities occurring under your account.
You shall promptly notify Porter of any suspected unauthorised access, credential compromise, or misuse.
Porter may suspend access where reasonably necessary to protect security, investigate misuse, comply with law, or prevent harm.
4. Customer Content
“Customer Content” means all files, documents, text, data, images, templates, prompts, branding materials, metadata, and other materials submitted, uploaded, transmitted, or otherwise provided by the Customer through the services.
As between the parties, the Customer retains ownership of Customer Content.
The Customer grants Porter a non-exclusive, worldwide, royalty-free right, during the term of use, to host, copy, process, transmit, transform, analyse, store, and otherwise use Customer Content solely to the extent necessary to provide, maintain, secure, support, and improve the services, comply with legal obligations, and exercise rights under these Terms.
The Customer represents and warrants that it has all rights, permissions, and legal bases necessary for the use of Customer Content in connection with the services.
5. Nature of Outputs and No Guarantee of Perfection
Porter uses automated systems, algorithms, machine learning, rules-based processing, and evolving software models to generate outputs and perform tasks.
Accordingly, outputs may contain inaccuracies, omissions, incomplete corrections, formatting issues, false positives, false negatives, or results that require human review. Porter does not guarantee that any output will be error-free, complete, fit for a specific purpose, or compliant with any legal or technical standard.
The Customer remains solely responsible for reviewing, approving, testing, and determining the suitability of all outputs before publication, distribution, filing, regulatory use, or other reliance.
Because Porter continuously develops and improves the services, output quality, methods, features, and results may change over time.
6. Accessibility and Compliance
Porter is designed to assist Customers in achieving accessibility and document compliance objectives through automated processing, recognised industry validation tools, technical workflows, and accumulated professional expertise.
Porter may use tools and methods commonly used within the industry, including automated validators, rules-based checks, quality controls, and human review processes where applicable.
Because outcomes may depend on the quality of source materials, document complexity, third-party content, customer instructions, interpretation of applicable standards, and evolving legal requirements, Porter does not warrant that every file or output will in all circumstances fully satisfy every legal, regulatory, or technical requirement.
Unless expressly agreed in writing, Porter does not act as a legal adviser, certification body, or regulator. Final responsibility for review, publication, and compliance remains with the Customer.
7. Intellectual Property Rights
All rights, title, and interest in and to the services, including software, source code, object code, interfaces, workflows, designs, databases, know-how, trademarks, logos, documentation, and all related intellectual property rights, are and remain vested in Porter or its licensors.
Except for the limited right to use the services during the applicable subscription term and subject to these Terms, no rights are granted to the Customer by implication or otherwise.
The Customer shall not reverse engineer, decompile, disassemble, copy, reproduce, sublicense, lease, distribute, or create derivative works of the services except to the extent expressly permitted by mandatory law.
8. Fees, Billing, and Taxes
Where services are provided for a fee, the Customer shall pay the applicable charges set out in the relevant order form, proposal, subscription plan, or pricing page.
Unless otherwise stated, fees are exclusive of value added tax and any similar taxes, duties, or governmental charges, which shall be payable by the Customer in addition to the fees where applicable.
Recurring subscriptions renew automatically for successive billing periods unless cancelled before the renewal date.
If payment is overdue, Porter may charge statutory late-payment interest and reasonable recovery costs in accordance with Finnish law and may suspend access after notice where legally permissible.
Except where required by mandatory law, paid fees are non-refundable.
9. Availability and Support
Porter shall use commercially reasonable efforts to make the services available but does not warrant uninterrupted, timely, secure, or error-free operation.
Availability may be affected by maintenance, upgrades, internet outages, third-party services, force majeure events, cyber incidents, or other circumstances beyond Porter’s reasonable control.
Porter may apply reasonable technical limits relating to storage, usage volume, rate limits, fair use, or system protection.
10. Data Protection
Porter processes personal data in accordance with applicable data protection laws, including the GDPR where relevant, and our Privacy Policy.
Where Porter processes personal data on behalf of Customer in connection with the Services, the Porter Data Processing Agreement ("DPA"), available at /data-processing, forms part of and is incorporated into these Terms.
By accepting these Terms or using the Services, Customer enters into the DPA where applicable.
If Customer uploads personal data to the Services, Customer is responsible for ensuring that it has a lawful basis and all necessary rights to do so.
11. Confidentiality
Each party receiving confidential information from the other party shall use reasonable care to protect such information and shall not disclose it to third parties except as necessary for performance of these Terms, with consent, or as required by law.
Confidential information does not include information that is publicly available without breach, lawfully received from a third party without duty of confidentiality, independently developed, or required to be disclosed by law or competent authority.
12. Suspension and Termination
These Terms remain in force for as long as the Customer uses the services.
The Customer may cease use and terminate subscriptions in accordance with the applicable cancellation terms.
Porter may suspend or terminate access immediately where the Customer materially breaches these Terms, fails to pay amounts due, creates security or legal risk, becomes insolvent, or where suspension is required by law.
Upon termination, the Customer’s right to access the services ceases. Porter may delete Customer Content after a reasonable retention period, subject to legal obligations and backup cycles.
13. Warranties Disclaimer
To the fullest extent permitted by law, the services are provided on an “as is” and “as available” basis.
Porter disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, and non-infringement.
Nothing in these Terms excludes rights that cannot be waived under mandatory law.
14. Limitation of Liability
To the fullest extent permitted by law, Porter shall not be liable for any indirect, incidental, special, punitive, or consequential damages, nor for loss of profit, revenue, contracts, goodwill, anticipated savings, business opportunity, or data.
Porter shall not be liable for losses arising from Customer Content, Customer misuse, third-party systems, internet failures, or the Customer’s failure to review outputs.
Porter’s total aggregate liability arising out of or in connection with the services or these Terms shall not exceed the total fees paid by the Customer to Porter during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability to the extent such limitation is prohibited under Finnish law, including liability for wilful misconduct or mandatory statutory liability.
15. Indemnification
Where the Customer is acting in a business capacity, the Customer shall indemnify and hold harmless Porter from third-party claims, losses, damages, and reasonable costs arising from Customer Content, unlawful use of the services, infringement caused by Customer materials, or breach of these Terms.
16. Consumers
If the Customer qualifies as a consumer under applicable law, mandatory consumer protection legislation shall prevail over conflicting provisions of these Terms.
Certain services may be unavailable to consumers where their nature is strictly business-oriented.
17. Amendments
Porter may amend these Terms from time to time. Updated Terms shall become effective when published or otherwise notified, unless a later effective date is stated.
Continued use of the services after the effective date constitutes acceptance of the revised Terms.
18. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Finland, excluding its conflict of laws principles.
Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiations.
If no settlement is reached, the dispute shall be finally resolved by the competent courts of Helsinki, Finland, unless mandatory law provides otherwise.
Consumers may have the right to bring claims before another competent forum under mandatory law.
19. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Porter to enforce any provision shall not constitute a waiver of that provision.
These Terms, together with any applicable order form, data processing agreement, or separate written agreement, constitute the entire agreement between the parties concerning the services.
In the event of conflict between these Terms and a separately signed agreement, the separately signed agreement shall prevail to the extent of the conflict.
